At TKI, we strive to produce the best products on the market, and to do that, we require the most from our supporting dealers. Your commitment to our brand will not only bring value to the products we build and sell, but it will allow us to build a relationship that can continue to grow our profitability together. Input, criticism, and support is valued in both directions, and we hope to build a long-lasting relationship that is exciting and valuable for years to come. To speed up the dealer acquisition process, please make sure all forms are completed to the best of your ability, and that all relative documents are attached from the list below.

What is Needed:

●Current Year Reseller Application and/or ST-101 Form
●Current Business License and State Resale Tax License
●Picture of Store Front and Retail Space (If Online Complete Online Store Details.)
●Completed and Signed MAP Agreement
●Initial Stocking Order (Account will not be setup without a qualifying initial order.)

Annual Sales & Opening Order:

To maintain a strong dealer relationship TKI has established a minimum annual purchases/qualifying order requirement during the 12-month period (July 1 – June 30). The requirement will be:

$5,000/$3,500 for Premier Dealers
$3,500/$1,500 for Partner Dealers
$1,500/$0 for Charter Dealers

As an interested and invested dealer, TKI requires a qualifying opening order at the time of account set up. At the beginning of each season (July 1st), TKI will require established dealers to meet the annual tiered qualifying amount by November 1st. Dealers who do not meet the annual tiered qualifying amount will be contacted and given until the end of December to qualify or your dealer tier may be re-evaluated.

TKI reserves the right to discontinue any relationship and/or sales to any dealer who does not meet our guidelines, qualifications or violates the MAP policy. TKI will review sales volume annually in June & November and discuss dealer status as necessary.

Freight Policy:

TKI will prepay freight/shipping and invoice the dealer for freight upon shipment of the corresponding order. Any additional fees and/or charges such as expedited shipping fees or drop ship fees will be discussed before freight leaves TKI’s facility.

Expedited freight is available to our customers & dealers at the shipping carrier’s quoted fee. If preferred, we can also use the dealer’s FedEx, UPS or DHL shipping account if preferred and provided.

Same day expedited shipments placed after 2pm MST will be charged an additional $50 over quoted shipping charges as a drop off fee. Drop ship orders will be charged standard shipping rates to the customer’s address.

Premier Dealers placing domestic orders over $500 will receive free ground shipping within the continental US. Drop ship orders will be charged standard shipping rates to customer’s address as a drop ship fee.

Drop Ship Policy:

TKI prefers to ship our products directly to the dealer, as that keeps the dealer and customer relationship close. We can, however, drop ship items if needed. Drop ship items will be billed at carrier’s quoted ship fee and are subject to change at any time.

Return Policy:

We believe in our products and have a great track record for quality and innovation. We however understand, occasionally there will be a need for a return or exchange. All product returns must be pre-authorized by TKI management. A confirmed return authorization email must be included inside of the box.

All returns must come back to us in new, unopened packaging, with all contents unused. New, unopened items may be returned for credit or exchange (no cash refunds). The credit will not be applied to the account or offsetting order until the returned item has been received, inspected, and approved for restocking. We may charge up to a 20% restocking fee if the items being returned are not in like-new condition. Shipping will be the responsibility of the dealer at the time of return.

Payment made with a credit card will receive any account credits in the full dealer amount or will receive a refund to their credit card less any credit card fees associated with the transaction. Orders cancelled after payment received will be subject to the above.





Warranty Policy:

Warranty items must be confirmed before returning. Products returned for warranty will be received and inspected before any credit can be issued. All credits applied to accounts will be deducted from the annual order total. All warranty return products must be returned within 30 days of RMA.

**Items installed incorrectly, bearings, belts, hardware, and other wear items are not qualified warranty.

Payment Terms:

TKI CNC’s payment policy is “PAY UPON SHIPMENT”. Orders will not be released to a shipping carrier (UPS, FedEx, or USPS) without prior payment or payment of record on file.

Warranty, replacement, or exchanges must be secured with a form of payment but will not be charged unless items are not returned or are not part of the warranty return.

Shipments pending payment will be held for 14 days. If product payment has not been made within the 14-day period, the product order will be cancelled. No product will leave TKI CNC facility without prior payment arrangements.

Any individual change in terms will be communicated in writing upon setting up of the dealer account.

Back-ordered Product & Pre-Season Orders:

Any product orders placed online that are temporarily out of stock will be billed and shipped when it becomes available. Back-orders can be cancelled prior to product shipping. Pre-Season orders, and stocking orders will be shipped when the order is fulfilled completely, unless otherwise discussed.

TKI Reserves the Right To:

TKI may attend powersport shows, race events, sanctioned events, off road events and more for the purpose of promoting products and applications. At these shows, our intent is to promote our dealers and products. To build excitement, we may offer show specials and or discounts to drive traffic.

TKI will maintain an active e-commerce web site to provide customers a place to purchase and will maintain the manufacturer suggested retail price (MSRP) of products it manufactures. However, our goal will forever be to support dealers and drive traffic through your store.

TKI reserves the right to refuse business or revoke dealer privileges at their discretion.

Dealers must complete and return the pricing agreement. Dealers agree that they will never advertise TKI products for less than the Minimum Advertised Price. I have read the above MAP policy and I agree to follow the TKI MAP pricing as described above.

All TKI terms, prices and products are subject to change without notice, although we will make every attempt to provide proper notice for any changes that directly affect products and pricing.

In order to facilitate the proper representation of all TKI CNC products we are supplying our valued dealers with the following Minimum Advertised Price (MAP) policy. This policy will be in place only with respect to the advertising associated with our Trademarks, Names, Brands, Logos, Marks or copyrighted materials in catalogs and publications of any kind; including but not limited to print, electronic, video or audio products. Our policy in no way implies any attempt to control the dealer’s selling price of the products. It is simply a policy of dealer retail advertising meant to protect the image, goodwill, and market value of our brands and trademarks.

All TKI CNC branded and trademarked products are covered by the policy.

TKI CNC, unilaterally and in its sole and absolute discretion shall monitor, regulate, and enforce these guidelines without notice. Any questions or concerns about adherence to these guidelines should be submitted in writing to TKI CNC Inc. at 7105 Entryway Dr, Billings, MT 59101 or by email to sales@tkicnc.com.

These guidelines apply to all TKI CNC products. These guidelines shall prevail in the case of any conflict with any previously issued guidelines or policies.

b. No TKI CNC sales representative or other personnel have any authority to modify or grant exceptions to this policy without written consent and approval from TKI CNC.

Brands, Marks, Trademarks, Names and Logos affected by this policy shall not be advertised in any retail media print, video, electronic or otherwise at greater than 10% off retail as listed in current TKI CNC suggested retail price publications.

Advertising TKI CNC brands and products on sites such as but not limited to Amazon, Ebay, Jet.com, Walmart.com, and Sears.com and in any printed advertising IS allowed in accordance with the above stated policies and with prior TKI CNC approval.

All listings and advertising must clearly state: NAME OF BUSINESS, LOCATION, CONTACT INFORMATION, PHONE NUMBER, AND EMAIL ADDRESS.

NOTE: Name of dealer business must be filed and/or used on TKI CNC Dealer account.

Minimum stated bids must be included and comply with the maximum 10% off suggested retail price policy. Failure to comply is considered a MAP violation and will be addressed accordingly.

Advertising TKI CNC products/brands in a way that offers or implies a price or discount greater than 10% off suggested retail price is a violation of the advertising policy. Such as, but not limited to “Make Offer”, “Product Rebates”, “Cash Awards” and “Discount Awards”, that implies or lowers the sale price to a greater than 10% MAP Discount at the time of purchase, will not be allowed. Any and all such programs including TKI CNC branded products must be submitted to TKI CNC for prior approval. Complete product description must match advertised price.

Advertising or sales packages which contain covered and non-covered items should not result in deeply discounted non-covered items which, in effect, discount covered brands beyond the 10% policy. All Dealer promotions that may include TKI branded products (in-store, black Friday, tradeshow, etc) that may include a greater than 10% discount, must be submitted to sales@tkicnc.com for prior approval.

When a special printed program is offered to dealers from the manufacturer, the dealer may reflect that special in their retail advertising. For example, if the manufacturer is offering a “Buy a brake lever & reservoir protector, receive a $10 discount” program, the dealer may pass this special on to the retail public if the dealer so chooses. All manufacturer discounts offered to the TKI customer base will also be offered to TKI dealers.

Solicitation of customers on social media outlets or through personal messenger offering discounts below MAP pricing is a violation of our MAP Policy.

Verified violations of the above MAP policy for the covered brands referenced will be addressed in the following manner.
First Violation: Dealer will receive written and/or verbal warning. Internet advertising will be given 24 hours to make the proper corrective changes. If a violation is not corrected within the 24-hour period, this becomes the second violation.
Second Violation: Dealer will lose the right to purchase and use trademarked brand names, logos and images in any advertising with regard to all products involved in the violation for a period of 3 months. Reinstatement will be determined at the discretion of TKI CNC Inc and may involve a lower dealer tier pricing.
Third Violation: Dealer will lose the right to purchase all products, use trademarked brand names, logos and images in any advertising regarding all products involved in the violation for a period of no less than 12 months, with reinstatement at the discretion of TKI CNC Inc and may involve reinstatement at a lower dealer tier.
TKI CNC, Inc. reserves the right to amend this policy on an ongoing basis, as it deems necessary.
